ANNOUNCEMENT
Subject: Decisions of the Annual General Meeting of the shareholders of Ellinas Finance Public Company Ltd
At the Annual General Meeting of the shareholders of Ellinas Finance Public Company Limited (the «Company») held on June 14, 2018 at 4pm, the Directors' Report and the Annual Financial Report of the Company for the fiscal year 2017 was presented. Also at the General Assembly:

- Messrs Emilios Ellinas and Dimitris Petrides resigned from their positions as members of the Board of Directors of the Company in accordance with the Articles of Association of the Company and subsequently, the General Assembly re-elected them as members of the Board of Directors of the Company.

- Decided to pay to the shareholders of the Company dividend of 1.8 cents per share of a nominal value of €0.45, for the years 2016 & 2017. Until Friday, June 29, 2018 (last cum date), the shares of the Company are traded with a right to participate in the dividend distribution and from Monday, July 2, 2018 (ex-dividend date), without the right to a dividend. Therefore, the beneficiaries of the dividend will be those investors who on July 3, 2018 (the "Archive Date") will be registered in the Company's register or those investors that will hold securities (recipients) from an over the counter sales transfer which will be completed (meaning it will be registered in the SAT system) until the Archive Date. The dividend will be paid to the beneficiaries in Euros and the checks will be posted by July 23, 2018.

- It was decided that the remuneration of each non-executive Director for the year 2018 will remain the same as in 2017 at €1,500 and additionally will receive €100 per meeting attended as a fee for 2018 (2017: €0).

In accordance with the Auditors Law of 2017, the Company, as a Public Interest Entity, has launched tenders for auditing services for the year 2018 and thereafter. Based on the bids submitted, the audit firm KPMG Limited was selected. The General Assembly authorized the Board of Directors to set their remuneration for the year 2018.
