IG Group Holdings plc (the "Company"), a global leader in online trading, gives notice of the following transactions carried out in respect of the Company's ordinary shares of 0.005p each (the "Ordinary Shares") by Executive Directors and other PDMRs (together "PDMRs"), details of which are set out in the Notification of Transactions by PDMRs in this announcement as required by the EU Market Abuse Regulation as it applies to the UK.
1. Sustained Performance Plan ("SPP")[1]: Award granted on 4 August 2022
The share price used to determine the number of options awarded is £7.933, based on the average of the closing prices of the previous 10 days as is required by the rules of the SPP.

4. Purchase of Shares under the Company's Share Incentive Plan ("SIP")
The Company operates a HMRC tax advantaged SIP, which is open to all UK-based employees. If employees participating in the SIP retain their purchased shares and remain employed on the third anniversary of the purchase, additional matching shares will vest on a one-for-one basis.
The Company was today advised by the Trustees of the SIP that on 4 August 2022, the following transactions were made under the SIP:

5. Buyout Awards
Conditional awards were made to Barbara Duffy over Shares on 4 August 2022 in relation to her joining the Company and being appointed as Chief People Officer of IG Group. In connection with Ms Duffy agreeing to take up employment with the Company, it was agreed that buy-out awards (the "Buy-Out Awards") would be made to her as compensation for incentives forfeited on leaving her previous employer, St James's Place plc. The Buy-Out Awards have been approved by the Company's Remuneration Committee ('Remuneration Committee').
The Buy-Out Awards will vest subject to Ms Duffy's continued service with the Company and to the satisfaction of the conditions set out below.
