Subject: Notification of Merger agreement conclusion

We hereby announce that pursuant to the Capital Market Act on March 14, 2018, Granolio d.d., Zagreb, Budmanijeva 5, OIB:59064993527, MBS: 080111595, company entered into the Court registry of the Commercial Court in Zagreb and Prerada žitarica d.o.o., Grubišno Polje, Braće Radića 45, OIB: 03408544016, MBS: 010061800, company entered into the Court registry of the Commercial Court in Bielovar, concluded a Merger agreement in the form of a notary public document with which the transferor company Prerada žitarica d.o.o. is merged to the transferee company Granolio d.d.

The agreement takes effect on the day when it is approved by the transferor company's assembly and the transferee company's General assembly, in case the meeting and approval of the General assembly will be required by law and pursuant to regulations, the merger is considered to be completed only upon its registration in the transferee company's court register.

The agreement will be submitted to the court register of the Commercial Court in Zagreb, and the transferee company will release the prescribed documents pertaining to the said merger to shareholders on the day of the convening of the General Assembly in the premises of the transferring company's head office, pursuant to Article 517, paragraph 2 of the Companies Act.

This notification was delivered to the Officially appointed mechanism for the central storage of regulated information of the Croatian Financial Services Supervisory Agency - HANFA, Zagreb Stock Exchange, Croatian News Agency and it is available on the Company web site www.granolio.hr.
