Tivoli A/S – stock exchange announcement no. 3 – 2009

Tivoli A/S and Løgismose A/S have today reached agreement that Tivoli will take over Løgismose's 50% ownership interest in the company behind Nimb, whereby Tivoli becomes the sole proprietor of the company Løgismose-Nimb A/S with effect from 1 January 2009.

The ownership is transferred at a price of DKK 1.

Løgismose A/S wishes to withdraw from the partnership in order to focus on a number of positive development opportunities in the remaining part of the Group.

The transfer is not expected to have any earnings effect on Tivoli in relation to the previously announced profit before tax of DKK 30-40 million for 2009. However, the expected revenue is adjusted upwards to DKK 650-670 million for 2009.

Løgismose-Nimb had a revenue of DKK 46.2 million and a loss before tax of DKK 14.5 million in 2008. As a result of the transfer to Tivoli, among other factors, a significantly smaller loss is expected in 2009.
