Subject: HRVATSKA POŠTANSKA BANKA, dioničko društvo - Notice in Accordance with the Article 459 of the Capital Markets Act

In accordance with the article 459 of the Capital Markets Act (Official Gazette No. 88/08, 146/08, 74/09, 54/13, 159/13, 18/15 and 110/15) Hrvatska Poštanska Banka, plc("the Bank" hereafter) informs investment community that has signed on December 23rd 2016 a Portfolio Sale and Purchase Agreement with B2 KAPITAL d.o.o., which constitutes a part of the group B2 HOLDING ASA, with regard to the sale of non-performing retail loans.

Prior to signing of the abovementioned agreement, Bank had obtained on December 20th 2016, according to article 150 paragraph 3 of the Credit Institutions Act and article 8 paragraph 1 of the Decision on Sale of the Placements of Credit Institutions, a positive opinion from the Croatian National Bank regarding a sale of materially significant receivables.

Bank shall continue to publish detailed information on development of transaction, as well as on all further activities, and shall timely report it to the investment community.
