Subject: Announcement on the held session of Supervisory Board and notice on changes of Management Board

Valamar Riviera d.d. seated in Poreč, Stancija Kaligari 1, OIB: 36201212847 (hereinafter: Company) in accordance with Article 123 of the Rules of the Zagreb Stock Exchange announces that on the 13th of April 2015 a Supervisory Board meeting was held during which the audited annual financial report for 2014 has been determined which will be made public within the prescribed period, in accordance with the provisions of the relevant regulations.

Supervisory Board has also determined the resolution proposals for General Assembly convened for the 8th of June 2015 on the following resolutions: profit distribution, payment of dividend, election of one member of the Supervisory Board, auditor for 2015 and changes of Company Statute, which proposals will be published within the prescribed period in the invitation for the General Assembly, in accordance with relevant regulations.

Supervisory Board has also taken note of the resignations of the current Management Board president Mr. Franz Lanschützer and Management Board member Mrs. Ivana Budin Arhanić as of the 8th of June 2015 and has altered its decision from the 28th of October 2014 in the way that it has determined the beginning of mandate of Management Board president Mr. Željko Kukurin as of the 9th of June 2015. Thus the Management Board of the Company starting from the 9th June 2015 will be composed of two members: Mr. Željko Kukurin as Management Board president and Mr. Marko Čižmek as Management Board member. Mr. Franz Lanschützer will continue his cooperation with the Company through his work in the Supervisory Board of the Company and Mrs. Ivana Budin Arhanić will be assuming the position of vice president for business development, strategic management and Company's corporate affairs.
