Result of Annual General Meeting

Caerus Mineral Resources (LON: CMRS), the Cyprus-based exploration and resource development company focused on developing copper-gold mineral resources to support the global "Clean Energy" initiative, announces that at its Annual General Meeting held at 11:00AM on Wednesday 1 June 2022, all Resolutions put to shareholders were duly passed.

1.     A "vote withheld" is not a vote in law and is not counted in the calculation of the percentages of the votes cast for and against a Resolution.

2.     The number of votes validly cast were in respect of 17,738,784 shares, representing 29.0% of the 61,211,258 eligible voting shares in the Company in issue at 11:00am on 31 May 2022.

3.     Where shareholders appointed the Chairman of the Meeting as their proxy with discretion as to voting, their votes were cast in favour of the Resolutions and have been included in the "For" total.

4.     Percentages are rounded to one decimal places.
