ANNOUNCEMENT

PROPOSAL FOR THE PAYMENT OF DIVIDEND OUT OF THE UNDISTRIBUTED PROFIT OF FINANCIAL YEAR 2021

The Board of Directors ("BoD") of AGROS DEVELOPMENT COMPANY 'PROODOS" PUBLIC LTD (the "Company") at a meeting held on 12/12/2023 and after:

• examining the final audited results of the Company for the financial years ended 31 December 2021 and 2022, and
• globally examining the financial course of the Company in the past two years and the satisfactory, under the circumstances, occupancy of the Rodon Hotel during the last tourist season,

has decided to propose to the next Annual General Meeting of the Company's shareholders (the "AGM") to be held around the middle of 2024, the payment of dividend out of the undistributed profits of 2021 totalling €208,215 corresponding to a dividend of 5.80 cents per share of a nominal value of €1.71 (i.e. 3.39% on the share's nominal value).

Upon approval of the proposal by the AGM in the form of resolution, the record date for the payment of dividend will be after the AGM in accordance with the regulations currently in force and shall be determined at the said AGM.
