Salamis Tours (Holdings) Public Ltd announces that its subsidiary company, Salamis Shipping Services Ltd, has signed an agreement for the acquisition of 100% of the share capital of the company Mikosa Properties Ltd, for the total amount of €2,025,000.
The only asset of Mikosa Properties Ltd is a property located in Limassol Avenue in Nicosia.
The following is also noted:
(a) The transaction was made on an arm's length basis.
(b) The transaction is not related to or does not affect the interests of the Company Secretary or of a designated person in accordance with the meaning attributed to this term in Article 137(3) of the Law.
(c) The counterparty is the company Themis Portfolio Management Ltd.
(d) The consideration for the acquisition has been fully paid.
(e) No goodwill or profit or loss arises from the acquisition of Mikosa Properties Ltd as the company's only asset is the property in question and it has no liabilities.
