Grant of Savings-Related Share Options and Notification and public disclosure of transactions by persons discharging managerial responsibilities ("PDMRs") and persons closely associated with them
TP ICAP Group plc (the "Company") is pleased to announce that it has launched a Savings-Related Share Option Plan (the "2022 SRSO Plan") for all eligible employees.
Eligible employees were invited to subscribe for options ("Options") over the Company's ordinary shares of 25 pence each ("Ordinary Shares") which have been granted at an exercise price of £1.1997 per Ordinary Share in accordance with the terms of the 2022 SRSO Plan. The Options were issued on 29 April 2022 and will normally be exercisable from 1 June 2025 for six months.
692 employees have elected to participate in the 2022 SRSO Plan and as a result Options over a total of 7,673,726 Ordinary Shares have been granted in respect of the 2022 SRSO Plan, representing 0.97% of the Company's issued share capital.
The following PDMRs have chosen to participate in the 2022 SRSO Plan:

In choosing to participate in the 2022 SRSO Plan, the above stated PDMRs withdrew from the 2021 Savings-Related Share Option Plan ("2021 SRSO Plan") and their respective 2021 SRSO Plan options previously announced on 23 April 2021 have therefore lapsed.
