GABELLI MERGER PLUS+ TRUST PLC (the "Company")

Fifth Anniversary Tender Offer

Subject to compliance with all legal and regulatory requirements, shortly before the fifth anniversary of Admission, the Company will arrange for an offer to all Qualifying Registered Holders to purchase Qualifying Shares (the "Fifth Anniversary Tender Offer").

A "Qualifying Registered Shareholder" is a Registered Shareholder who was entered into the Loyalty Register on Admission, who remains on the Loyalty Register until the making of the Fifth Anniversary Tender Offer and who is not an Ineligible Shareholder.  "Qualifying Shares" means Shares in respect of which a Qualifying Registered Shareholder was both entered into the Loyalty Register on Admission and remains on the Loyalty Register.

Subsequent Tender Offers

Subject to compliance with all legal and regulatory requirements, the Company also intends to arrange additional tender offers, in January 2023 and January 2024, to Registered Shareholders meeting certain eligibility requirements.

Additionally, the Board of Directors is exploring options for investors to increase their investment by up to 10% of the total share capital on a non-dilutive basis, with over-allotment options.
