Current report according to Article 234 para. (1) letter k) of the Financial Supervisory Authority Regulation no. 5/2018 on issuers of financial instruments and market operations, as well as the provisions of Article 99 letter s) of the Code of the Bucharest Stock Exchange, Title II, Issuers and Financial Instruments.

Important events to be reported:

Registration with the Financial Supervisory Authority and the Central Depositary of the Romanian State payment of the share capital

Franklin Templeton International Services S.À R.L., in its capacity of alternative investment fund manager and sole director ("AIFM / Fund Manager") of Fondul Proprietatea S.A. ("Fund"), would like to inform shareholders and investors about the process of registering the payment related to all unpaid shares (i.e. 363,812,350) held by the Romanian State, represented by the Ministry of Finance, in the Fund, in the amount of RON 189,182,422.00 ("Payment performed by the Romanian State"), following its registration by the Bucharest Trade Registry, as announced in the current report of 16 February 2022.

Thus, on 25 February 2022, the Financial Supervisory Authority acknowledged the new value of the paid-up share capital equal to that of the subscribed share capital of the Fund, as a result of the Payment performed by the Romanian State.

On 3 March 2022, the Central Depository confirmed the ceasing of the freezing restriction imposed on the 363,812,350 unpaid shares held by the Romanian State.

Thus, the registration process with all market institutions of the Payment performed by the Romanian State is completed.
