Purchase of Management Fee Shares

The Company announces that, in accordance with the terms of the Investment Management Agreement ("IMA") with Ecofin Advisors, LLC (the "Investment Manager"), on 28 January 2022 the Investment Manager purchased 47,655 Ordinary Shares ("Management Fee Shares") at an average price of $0.999 per Management Fee Share, reflecting the management fee due for the period from 1 October 2021 to 31 December 2021.

Pursuant to the IMA, 15 per cent. of the management fee is payable in the form of Ordinary Shares, subject to a rolling lock-up of 12 months. The key terms of the IMA were disclosed in the prospectus published by the Company on 11 November 2020 (the "Prospectus").

Combined with previous Management Fee Share purchases and issuances, the Investment Manager and the relevant Associates will hold a total of 132,705 Management Fee Shares.
