POSTING OF NOTICE OF GENERAL MEETING AND PROPOSED MIGRATION TO A SECONDARY LISTING ON THE JSE
Shareholders are referred to the announcement released on SENS and RNS on 15 December 2021 regarding the transfer of the Company's Ordinary Shares to the premium segment of the Official List of the Financial Conduct Authority (the "LSE Transfer"). The terms defined in that announcement bear the same meaning as in this announcement, where appropriate. The LSE Transfer took place on 20 December 2021.
In addition to the LSE Transfer, the Company will, subject to obtaining the requisite shareholder approval, submit an application for the migration of the listing of its Ordinary Shares from a primary listing to a secondary listing on the Main Board of the Johannesburg Stock Exchange (the "JSE Migration").
The Company will dispatch a notice of general meeting (the "Notice") to shareholders today, Thursday 20 January 2022, to convene a general meeting where shareholder resolutions will be proposed to give effect to the JSE Migration (the "General Meeting"). The General Meeting will be held at Governor's House, 5 Laurence Pountney Hill, London EC4R 0BR, United Kingdom on Wednesday, 9 February 2022 at 9:00 a.m. GMT / 11:00 a.m. SAST.
The record date on which shareholders must be recorded in the Company's share register in order to attend and vote at the General Meeting is Friday, 4 February 2022 by 5.00 p.m. GMT / 7.00 p.m. SAST.
Should shareholders vote in favour of the requisite resolutions at the General Meeting, the JSE Migration is expected to take effect from 11 February 2022.
