UMT United Mobility Technology AG: Settlement of the preliminary injunction proceedings against KB Holding GmbH, Buchberger Baugeräte Handel GmbH and Buchberger Baumaschinen Service + Vermietung GmbH**
The preliminary injunction proceedings of United Mobility Technology AG (“UMT AG”, GSIN: A2YN70, ISIN: DE000A2YN702) against KB Holding GmbH, Buchberger Baugeräte Handel GmbH and Buchberger Baumaschinen Service + Vermietung GmbH were terminated by a court settlement concluded today.
Accordingly, KB Holding GmbH has undertaken, subject to contractual penalties, to refrain from committing itself with regard to the shares in Buchberger Baumaschinen Service + Vermietung GmbH and Buchberger Baugeräte Handel GmbH or from disposing of these shares.
Furthermore, Buchberger Baumaschinen Service + Vermietung GmbH and Buchberger Baugeräte Handel GmbH have undertaken to provide UMT AG with their annual financial statements for the year ending December 31, 2022 immediately after they have been adopted, and by June 15, 2023 at the latest.
With this result, UMT AG has achieved two key objectives of its application for temporary injunctions for the time being. It has been ensured that the company’s shares cannot be sold in an uncontrolled manner. It also ensures that the consolidated financial statements for 2022 can be prepared without estimated figures.
