Major Shareholder Announcement pursuant to section 30 of the Danish Capital Markets Act

We hereby announce that today, Gadplast ApS has sold 1,200,000 number of SP Group shares at a total amount of DKK 277,200,000.00. Subsequently, Gadplast ApS is no longer a major shareholder in SP Group A/S.

Further, GadInvest A/S has today acquired 1,200,000 number of SP Group shares at a total amount of DKK 277,200,000.00.

Therefore, GadInvest A/S now holds 10.54 % of the shares and voting rights in SP Group A/S and becomes new major shareholder in the company.

Frank Gad including related parties still holds 1,492,720 number of SP Group shares equal to 13.11 % of the total share capital.

Further, Frank Gad owns 60,000 warrants in SP Group A/S equal to 0.52 % of the share capital. Including these warrants, the total holding of shares amounts to 13.63 %.

In case of any discrepancies, the Danish version shall prevail.
