COMPLETION OF SECOND TRANCHE OF SHARE REPURCHASE PROGRAMME

Direct Line Insurance Group plc (the "Company") announces that following the purchase of ordinary shares on 15 November 2021, the second £50 million tranche of the Company's share repurchase programme, which has been managed by Goldman Sachs International and was announced on 4 August 2021, has completed in accordance with its terms. In aggregate, between 4 August and 15 November 2021, the Company repurchased and cancelled 17,215,378 ordinary shares.

This brings to a conclusion the Company's share repurchase programme of up to £100 million announced on 8 March 2021. In aggregate, across the first tranche of the programme between 9 March and 11 June 2021 and the second tranche of the programme between 4 August and 15 November 2021, the Company repurchased and cancelled 33,838,593 ordinary shares.
