Director/PDMR Shareholding

On 30 September 2021, nil cost awards over 541,852 ordinary shares in Wilmington plc (the "Company") and options with a per share exercise price of £2.23 over 232,657 ordinary shares in the Company were granted under the Wilmington Performance Share Plan 2017 (the "Plan") to employees of the Company and its subsidiaries, of which the following nil cost awards were made to Directors of the Company and other Persons Discharging Managerial Responsibilities ("PDMRs"):

No consideration was paid for the grant of the awards. The vesting of the awards and options is subject to the satisfaction of performance conditions, which will be assessed over three years. The performance conditions applicable to the awards granted to the Executive Directors and other PDMRs are outlined below:

Underpin Performance Condition

The performance condition will be satisfied if average Return on Capital Employed 'ROCE' over the performance period is at least 10%. 

The awards granted to the Executive Directors and other PDMRs are subject to an additional condition that ordinarily all of the shares acquired (after sales to cover tax) must be retained until the second anniversary of the vesting date.
