Share buy-back program at SP Group A/S

On 11 April, 2022 SP Group initiated a share buy-back programme, cf. company announcement no. 18/2022 of 25 March, 2022.

According to the programme, SP Group will in the period from 11 April 2022 until 10 April 2023 purchase own shares for a maximum amount of DKK 40.0 million.

The share buy-back programme was initiated and structured in compliance with the EU Commission Regulation No. 596/2014 of 16 April 2014 about Market Abuse, the so-called Market Abuse Regulation that protects listed companies' board and executive board against violation of insider legislation in connection with share buy-backs.

In the open window, SP Group has sold 12,500 number of SPG shares at a price of 251.10 from the 2019 program, ID code DK0061027356, to four executives redeeming warrants. The total selling price amounts to DKK 3,138,750.00.

Subsequently, there are 18,200 warrants left under the 2017 program, 90,645 warrants left under the 2018 program and 137,221 warrants left under the 2019 program for later redemption. These warrants will be hedged with treasury shares.

As of today, SP Group's total holding of own shares is 264,329 number of shares of a nominal value of DKK 2, corresponding to 2.12 % of the total number of issued shares of 12,490,000.
