Share bonus awards vesting to Nick Wilkinson and Laura Carr

On 9 September 2021 share incentive awards vested to Nick Wilkinson, Chief Executive and Laura Carr, Chief Financial Officer under the Dunelm 2020 Share Plan, in respect of ordinary shares of one pence each in the Company.

Mr Wilkinson sold 14,053 shares at a price of £14.221804 per share to fund the payment of his income tax and national insurance liabilities on exercise, and retained the remainder of his shares.

Mrs Carr sold  9,451 shares at a price of £14.221804 per share to fund the payment of her income tax and national insurance liabilities on exercise, and transferred the remainder to David Antony Carr, her husband and a person closely associated with her, for nil consideration.

Notes:

1.         The awards were made in accordance with the 2020 Remuneration Policy approved by shareholders on 17 November 2020 (the "2020 Policy").

2.         The award in respect of the FY20 annual bonus was not subject to performance as the quantum reflects bonus earned in that year after applying performance criteria.

3.         *The award in respect of the FY21 annual bonus was subject to the satisfaction of performance criteria in respect of the FY21 financial year.  The number of shares above is the number vesting after applying these criteria. Full details will be set out in the FY21 annual report.

4.         On exercise, Mr Wilkinson and Mrs Carr have each committed to retain at least two thirds of the shares vesting (after sale to cover their tax and national insurance liability on exercise) for the duration of employment.  In addition, shareholding requirements apply for the duration of employment and for two years from termination of employment, as set out in the 2020 Policy.

5.         The award is subject to adjustment, malus and clawback as set out in the 2020 Policy and the rules of the plan.

Following the transaction set out above, Mr Wilkinson and Mrs Carr are beneficially interested in ordinary shares of one pence each in the Company as follows:
