Notification of transactions by persons discharging managerial responsibilities (PDMRs)

The Company hereby announces that Andy Ransom, Chief Executive, has exercised his award of 163,625 shares granted under the Rentokil Initial plc Performance Share Plan (PSP) in March 2012, with 77,072 of these shares being sold at a share price of 560.01p per share.

These shares are being sold in order to cover the tax and national insurance liability on the 2012 PSP award.  The award which vested in March 2015 would lapse within the next seven months if it remained unexercised. Following these transactions he will hold shares directly (excluding other vested, unexercised share awards) worth in excess of 1000% of base salary.

The relevant notification set out below is provided in accordance with the requirements of Article 19 of the EU Market Abuse Regulation.
