NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY ("PDMRs")
Director/PDMR Shareholding
IG Group Holdings plc 2013 Sustained Performance Plan ("SPP") and Share Incentive Plan ("SIP")
IG Group Holdings plc (the "Company"), a global leader in online trading, gives notice of the following transactions carried out in respect of the Company's ordinary shares of 0.005p each (the "Ordinary Shares") by June Yee Felix, Chief Executive Officer and Executive Director of the Company, which is set out in the Notification of Transactions by PDMRs in this announcement as required by the EU Market Abuse Regulation as it applies to the UK.
1. Sustained Performance Plan ("SPP")[1]: Award granted on 5 August 2021
The share price used to determine the number of shares awarded is £8.878 and is based on the average of the closing prices of the previous 10 days as is required by the rules of the SPP

[1] The SPP21 Award comprises:
· A conditional share award settled in cash equal to 30% of the plan contribution; and
· An award of options over shares equal to the remaining 70% of the plan contribution, which become exercisable as to 20% of the shares in the option in August 2024 and as to 50% of the shares in the option in August 2025.
2. Sustained Performance Plan ("SPP"): Exercise of par cost options and Sale of Shares
Ordinarily, a proportion of shares granted under the Company's SPP would be sold on the London Stock Exchange to satisfy the entire income tax and national insurance liabilities immediately arising on vesting. This would have resulted in the sale of 47,818 shares in the Company and the transfer of 53,923 shares to Ms Felix.
The Company announces that June Yee Felix has elected to satisfy all of the income tax and national insurance liability from her own resources, resulting in the transfer of 101,741 shares in the Group to Ms Felix.
The table below sets out the share options exercised on 5 August 2021:

Following this transaction, June Yee Felix's total shareholding in the Company is 415,697 shares (which includes her unvested share options in the SPP on a net of tax basis), representing 621% of salary held (based on a share price of £9.18). Under the share ownership policy, Executive Directors are expected to hold shares to the value of a minimum of 200% of base salary.
3. Purchase of Shares under the Company's Share Incentive Plan ("SIP")
The Company operates a HMRC tax advantaged SIP, which is open to all UK-based employees. If employees participating in the SIP retain their purchased shares and remain employed on the third anniversary of the purchase, additional matching shares will vest on a one-for-one basis.
The Company was today advised by the Trustees of the SIP that on 5 August 2021, the following transactions were made under the SIP:
