Issue of management fee shares

The Company announces that it has issued 25,568 ordinary shares ("New Ordinary Shares") to the Company's Investment Manager, Ecofin Advisors, LLC, in relation to fees payable for the period from 1 April 2021 to 30 June 2021.  The New Ordinary Shares have been issued in accordance with the Investment Management Agreement ("IMA"), pursuant to which 15 per cent. of the management fee is payable in the form of Ordinary Shares, subject to a rolling lock-up of 12 months. The details of the IMA were disclosed in the prospectus published by the Company on 11 November 2020.

The New Ordinary Shares are being issued at a price equal to the prevailing cum income Net Asset Value as at 30 June 2021 of 98.47 cents per New Ordinary share.

Applications will be made for the New Ordinary Shares to be admitted to the premium segment of the Official List, and to trading on the London Stock Exchange's Main Market for listed securities ("Admission"). It is expected that Admission will become effective at 8am on 6th August 2021. The New Ordinary Shares will rank pari passu with the ordinary shares already in issue.

Following Admission, the Company's issued share capital will consist of 125,053,498 ordinary shares. Therefore, the total number of voting rights of the Company is 125,053,498 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or of a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
