Notification of transactions by persons discharging managerial responsibilities (PDMRs) and persons closely associated

Discretionary award of shares

On 26 July 2021 members of the Executive Leadership Team of the Company (each a person discharging managerial responsibilities) were awarded ordinary shares of 10p each in the Company at nil consideration, as part of their annual bonus award for the year ended 3 April 2021, as set out below. Immediately following the award, shares were sold to cover tax and NIC arising from the award at a price of 108.7p.

2021 Restricted Stock Plan Award

In addition, on 26 July 2021, Hannah Collyer was granted an award over 10,288 ordinary shares of 10p each in the Company (the "RSP Award") under the Premier Foods Restricted Stock Plan (the "RSP").

The RSP provides specific ad hoc awards to group management operating at below Board level. The RSP Award is structured as a nil cost option to acquire ordinary shares of 10p each in the capital of the Company. The RSP Award will normally become exercisable under the RSP between the third anniversary of the Grant Date and the day before the seventh anniversary of the Grant Date, subject to the participant continuing to hold office or employment within the group.  No consideration was paid for the grant of the RSP Award and no consideration shall be payable when the RSP Award is exercised. 

The notifications set out below are provided in accordance with the requirements of the Market Abuse Regulation.
