At its meeting on December 18, 2008, the Board of Directors noted the AFEP/MEDEF1 recommendations of October 6, 2008 concerning the compensation of senior managers with the status of corporate officers.
The Board of Directors considers that these recommendations are in line with Faurecia's corporate governance policy, and has found that most of them had already been implemented.
The AFEP/MEDEF corporate governance code, as amended by these recommendations, is therefore the code to which the company will refer in drawing up the report provided for under Article L.225-37 of the French Commercial Code.
A presentation of how the recommendations have been implemented will be provided in the Reference Document published after the closing of the financial statements for the current financial year.
