AJ Bell plc ("AJ Bell" or "Company")

Issue of ordinary shares and total voting rights

On 7 June 2021, the Company issued 20,615 new ordinary shares of £0.000125 each from its block listing authority of 24 December 2018, as amended on 11 December 2019, for the purposes of its Company Share Option Plan. Those shares rank equally in all respects with the existing issued ordinary shares in the Company.

Following this issue, the Company has the ability to issue a further 1,064,286 ordinary shares under the 24 December 2018 block listing authority, as amended on 11 December 2019.

As a result of this issue, the total number of ordinary shares in issue now stands at 410,491,708 and the total number of voting rights in the Company is 410,491,708.

There are no shares held in Treasury.

The above figure of 410,491,708 may be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interest in, or change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
