b)	Nature of the transaction	Vesting of options relating to the 2018 Accelerated Integration Plan LTIP award. This Award was separate to the standard 2018 LTIP Award, with targets specifically relating to the combination with UBM plc, namely the post-tax Return on Invested Capital ("ROIC") and Cost Synergies achieved. The options that are vesting relate to the Cost Synergies element of the Award. The performance period for the ROIC element runs to 31 December 2021 and no options are expected to vest. The options are exercisable until 29 May 2028 (for Stephen A. Carter and Gareth Wright) and 16 April 2028 (for Patrick Martell). The options granted to Stephen A. Carter and Gareth Wright are subject to an additional two-year hold period following vesting.  During this period, the shares may only be disposed to meet tax and other regulatory obligations.
