With reference to announcement no. 9/2024 of 17 June 2024 regarding the entering into of an agreement between Topdanmark A/S ("Topdanmark") and Sampo plc ("Sampo"), pursuant to which Sampo will make a recommended public tender offer (share exchange offer) to the shareholders of Topdanmark for up to all shares (except treasury shares and shares already held by Sampo) in Topdanmark (the "Exchange Offer"), Sampo has today published a prospectus (the "Prospectus"), which has been approved by the Finnish Financial Supervisory Authority, and an offer document (the "Offer Document"), which includes relevant acceptance forms to be used for acceptance of the Exchange Offer. Sampo's announcement as well as the Prospectus and the Offer Document (including acceptance forms) are attached to this announcement.
