In accordance with the law and grand-ducal regulation dated 11 January 2008 on transparency requirements for issuers of securities, Orco Property Group S.A., having its registered office at 40 Parc d'Activités Capellen, L-8308 Capellen, registered with the Luxembourg trade and companies register under number B44996 and registered with the CSSF under issuer's number E-0031 (the Company) hereby publishes the total number of voting rights and capital of the Company as of 29 April 2010:

Total number of shares composing the share capital of the Company:

14,053,866 shares ;

Total number of voting rights attached to the shares composing the share capital of the Company :

Origin of the change and date when the change occurred:

Three capital increases of the Company occurred in April 2010:

• 1,090,000 new shares of the Company have been issued further to a first capital increase recorded by a notary in Luxembourg on 13 April 2010;
• 1,420,000 new shares of the Company have been issued further to a second capital increase recorded by a notary in Luxembourg on 16 April 2010;
• 600,000 new shares of the Company have been issued further to a third capital increase recorded by a notary in Luxembourg on 19 April 2010;
