Dear Shareholder

Spectris plc (the 'Company') – 2020 Annual Report and Accounts

Please note that the Spectris plc Annual Report and Accounts for the year ended 31 December 2020 is now available on the Spectris website at www.spectris.com.

Please find enclosed the Notice of Annual General Meeting of the Company to be held on Friday, 14 May 2021, and Form of Proxy to allow you to vote on items to be considered at that meeting.

Due to the ongoing impact of COVID-19, the disease caused by the novel coronavirus, UK Government legislation and guidance currently prohibits public gatherings. At the time that this document is published, the Company will be required to restrict physical attendance at the AGM and therefore Shareholders will not be permitted to attend in person and all votes at the AGM will be taken by poll. This is to ensure we meet the requirements of the latest UK Government guidance put in place in response to the COVID-19 pandemic. The arrangements for the AGM are being kept under careful consideration and, if the Company considers that any changes are necessary or appropriate, shareholders will be updated through the Company website (www.spectris.com).

Details as to how shareholders can continue to play an active role in the AGM and engage with the Board are set out in full in the Notice of Meeting.

If you would like to receive an email notification of shareholder communications from the Company, you can register for this on Equiniti's Shareview website at www.shareview.co.uk. This facility is encouraged as a more convenient and prompt method of communication, reducing printing and mailing costs for the Company and also helping to reduce the impact of these activities on the environment. You will be able to revoke your registration or request a printed copy of any shareholder communication at any time.

Please also be aware that a Dividend Reinvestment Plan (DRIP) is available as an alternative to receiving dividends in cash. Full details of the DRIP and an application form are available at www.spectris.com. New applications to participate in the DRIP must be received by the Company's registrars, Equiniti, at least 15 working days before the date of the next dividend payment.
