TRANSGENE ANNOUNCES SUCCESSFUL RIGHTS ISSUE

Transgene (Euronext Paris: FR0005175080) announces the success of the rights offering launched on 11th May 2010.

7,680,027 shares were subscribed on an irreducible basis (à titre irréductible) representing 81% of the total shares to be issued. Orders on a reducible basis (à titre réductible) totalled 11,309 shares. The rump of 1,807,285 shares to be issued was 3.4 times oversubscribed and placed at the offer price by Bryan, Garnier & Co in an accelerated bookbuilding process.

Gross proceeds amount to €152 million, corresponding to 9,498,621 newly-issued shares.

Following the closing of the offering, Institut Mérieux, through its subsidiary TSGH, holds 55.2 % of Transgene's capital.

Settlement and delivery and start of trading of the new shares on Euronext Paris are planned for June 7th 2010. They will be immediately fungible with the Company's existing shares and will be traded under the ISIN code FR0005175080.
