Notification of transaction by persons discharging managerial responsibilities ("PDMRs")

The following notification made under Article 19(1) of the UK Market Abuse Regulation ("UK MAR") relates to the grant of awards under the Company's Employee Incentive Plan 2019. This announcement is made in accordance with Article 19(3) of UK MAR.

The Company also announces that it is making arrangements, in accordance with the Company's Directors' Remuneration Policy, for the deferred portion of the annual bonus awarded to certain PDMRs in respect of the financial year ended 31 December 2020 to be awarded in Company shares. A further announcement will be made to the market following the purchase of these deferred shares in the normal way.

This announcement should be read in conjunction with the Company's remuneration policy as set out in the 2019 Annual Report and Accounts and the Directors' Remuneration Report as set out in the 2020 Annual Report and Accounts (available on the 'Results, reports and presentations' page of the 'Investors' section of the Company's website: https://www.heliostowers.com/).
