Signature de l'accord définitif de la cession de Conforama à Steinhoff

A la suite de l'avis favorable des instances représentatives du personnel de Conforama et de PPR, PPR annonce avoir signé avec Steinhoff International Holdings Limited un accord définitif pour la cession de Conforama dans les termes annoncés le 9 décembre 2010.

L'opération est soumise à des conditions suspensives, dont l'approbation de l'Assemblée générale des actionnaires de Steinhoff. Steinhoff a déjà obtenu l'engagement de vote d'actionnaires représentant ensemble plus de 50% du capital en faveur de l'opération. La cession devrait être réalisée avant la fin du 1er trimestre 2011.

Signing of a definitive agreement for the sale of Conforama to Steinhoff

Pursuant to the successful consultation with personnel representative bodies of both Conforama and PPR, PPR has executed a definitive agreement with Steinhoff International Holdings Limited to sell Conforama under the terms announced on December 9, 2010.

The transaction is subject to certain conditions precedent, including the approval of the General Meeting of Steinhoff. Several shareholders, representing more than 50% of the issued ordinary capital of Steinhoff, have already undertaken to vote in favor of the acquisition. Closing of the transaction is anticipated before the end of the 1st quarter.
