Atos Origin signs a binding agreement to acquire Siemens IT Solutions and Services

Paris, 1 February 2011 – Atos Origin, an international IT services company, announced that it has signed today with Siemens a final binding agreement to acquire Siemens IT Solutions and Services and to proceed with the global partnership announced by both companies on 15th December 2010. The conclusion of this agreement follows the issuance of the opinion by the European Works Council of Atos Origin on this transaction and the approval of the transaction by the Atos Origin Board of Directors.

Subject to customary conditions precedent, including approval from the relevant antitrust authorities and from Atos Origin shareholders at an Extraordinary Shareholders Meeting, the transaction is expected to close by July 2011.

Paris, le 1er Février 2011, Atos Origin, société internationale de services informatiques, annonce avoir conclu aujourd'hui avec le groupe Siemens un accord définitif pour l'acquisition de Siemens IT Solutions and Services annoncé par les deux Groupes le 15 Décembre 2010 et pour la mise en place d'un partenariat stratégique mondial. La formalisation de cet accord fait suite à l'avis rendu par le Comité d'Entreprise Européen d'Atos Origin sur cette transaction ainsi qu'à son approbation par son Conseil d'Administration.

Soumise aux conditions suspensives usuelles, en particulier l'autorisation des autorités de la concurrence et l'approbation de l'opération par les actionnaires d'Atos Origin lors d'une Assemblée Générale Extraordinaire, la réalisation de l'acquisition est prévue en Juillet 2011.
