RÉSOLUTION A

Amendement à la résolution n°3 présentée par le Conseil d'administration à l'Assemblée Générale Mixte des Actionnaires du 2 mai 2011

Afi n de limiter le recours à l'endettement tout en augmentant la capacité d'investissement du Groupe, notamment en matière de recherche & développement et d'infrastructures, l'Assemblée Générale décide, en place et lieu du dividende proposé à la 3ème résolution, que le montant des dividendes versés au titre de l'exercice 2010 est fi xé à 0,83 euro par action, incluant l'acompte de 0,83 euro par action déjà versé le 15 novembre 2010.

RESOLUTION A

Amendment to the resolution no.3 submitted by the Board of Directors to the Shareholders' Ordinary and Extraordinary General Meeting of May 2, 2011

In order to limit reliance on debt while increasing the Group's investment capacity, specifi cally with regard to research & development and infrastructure, the General Meeting hereby resolves that, in the place and stead of the dividend proposed in resolution no. 3, total dividends paid for fi scal year 2010 shall be set at €0.83 per share, including the advance of €0.83 per share already paid on November 15, 2010.
