Aéroports de Paris announces entering today into exclusive negotiations with Group 3S to dispose its majority stake in its ground handling activities.
On 7 June 2011, Groupe 3S made a biding offer to Aéroports de Paris to acquire 80% of ground handling activities provided to airlines, performed by the Alyzia Group.
This project underlines the desire of Aéroports de Paris to entrust the management of Alyzia to a partner that would put the business of ground handling at the heart of its development strategy and could provide its expertise and technical and financial means to ensure the development and sustainability of Alyzia.
Group 3S is an operator of airport services offering a wide range of services to airlines and airport operators: ramp assistance, passenger in-terminal services, trolley recycling, aircraft de-icing, snow removal on aeronautical areas. It has offices in Paris and in the provinces. Groupe 3S has 2,400 employees.
As part of this offer, Groupe 3S, with the support of its partner Groupama Private Equity, plans to acquire 80% of the Alyzia Group's ground handling activities and intends to become the number one airport services group in France with an annual revenue of almost € 300 million. Groupe 3S offers to provide Alyzia with its expertise and the technical and financial means necessary to turn the company around and continue its development. As part of this offer, Aéroports de Paris would retain 100% of security activities through its subsidiary Alyzia Sûreté.
Groupe 3S offer, at the request of the Aéroports de Paris, includes a commitment not to proceed for 3 years with any redundancies for economic reasons which involve implementing a plan to safeguard jobs. Groupe 3S has emphasised its commitment to a responsible social policy.
Aéroports de Paris states that this project would allow it to retain a 20% capital stake in ground handling activities. For the end of 2014 and the beginning of 2015, Groupe 3S proposes Aéroports de Paris could have an option to dispose of its remaining stake and Groupe 3S could have an option to purchase the residual stake in the ground handling activities.
On this basis, Aéroports de Paris announces entering into exclusive negotiations with Groupe 3S to review the conditions which would permit such a disposal.
If Aéroports de Paris decided to proceed with this operation, after the work that is currently underway is completed, and subject to the consultation of the workers councils and to the decision of its competent governing bodies, and provided Groupe 3S obtains the approval of the Competition Authority, then it would inform the market about it.
