Update on Changes to Board Roles

The Board of TBC PLC confirms that Mr. Haag has stepped down from his role as chair of the audit committee of the Board and audit committee of the Supervisory Board of the JSC TBC Bank (the "Bank") with immediate effect. Mr. Haag continues as a director of both TBC PLC and TBC Bank JSC and as a member of the audit committee of both.

The Board of TBC PLC confirms that Maria Luisa Cicognani has been appointed as the interim chair of the Audit Committee of the Board and the Supervisory Board of the Bank with immediate effect.

The Board further confirms that Mr. Haag has also decided to step down from the role of Senior Independent Director of both TBC PLC Board and the Supervisory Board of the Bank with immediate effect and instead Arne Berggren has been elected as the interim Senior Independent Director at both TBC PLC Board and Supervisory Board level.
