(Clermont-Ferrand – February 10, 2012) – Michel Rollier, Managing General Partner and Chairman of Michelin, has announced that at the Annual Meeting on May 11, he will recommend that shareholders accept that he leave office effective that date.
If shareholders agree, Jean-Dominique Senard, who was elected Non-General Managing Partner in May 2007 and Managing General Partner last May, will succeed Mr. Rollier as the Group's Chairman as from May 11, 2012.
In February 2011, Mr. Rollier announced his intention not to complete his term of office, which according to the bylaws ends at age 72. At the 2011 Annual Meeting, he proposed that shareholders, who accepted, to elect Mr. Senard as Managing General Partner to succeed him. At that time, the Group's corporate governance system was also adjusted to provide for Mr. Rollier's succession.

After a long career with the International Paper Group, Michel Rollier joined Michelin in 1996 as Chief Legal Officer and Director of Financial Operations. A member of the Group Executive Council, in late 1999 he was given responsibility for the entire Financial and Legal Affairs Department. He was elected Managing General Partner in May 2005, becoming the sole Managing General Partner a year later. In May 2007, he was joined by Jean-Dominique Senard, who was elected Non-General Managing Partner at that time, and then Managing General Partner in May 2011. Mr. Rollier is now 67 years old.
Mr. Senard's current term of office, which began on May 13, 2011, will last four years and is renewable.
Born in 1953, Jean-Dominique Senard exercised financial and operational responsibilities at Total, Saint-Gobain and Pechiney, where he served as Chairman of Pechiney SA, member of the Executive Committee of the Alcan Group. He joined Michelin in 2005 as Chief Financial Officer and Member of the Executive Committee, and after serving as Non-General Managing Partner since May, 2007, he was elected Managing General Partner at the Annual Meeting of Michelin Shareholders on May 13, 2011.
Michelin's Managing Partners, who according to the bylaws must be individuals and not legal entities, are elected by shareholders. They can be either General Partners, who have unlimited personal liability for Michelin's debts, or Non-General Partners.
The Michelin Supervisory Board, whose role was expanded by the change in bylaws approved by shareholders at the May 2011 Annual Meeting, currently has eight members elected by shareholders for four-year terms: Eric Bourdonnais de Charbonnière (Chairman), Pat Cox, Barbara Dalibard, Louis Gallois, François Grapotte, Pierre Michelin, Laurence Parisot and Benoît Potier. All of them qualify as independent.

Michel Rollier graduated from the Institut d'Etudes Politiques in 1967 and the Université de Droit in Paris in 1968.
Before joining Michelin, he worked for Aussedat-Rey (International Paper Group) starting in 1971. He successively served as controller (facilities, divisions and group) from 1973 to 1982, and as unit operational manager from 1982 to 1987. He was named Chief Financial Officer in 1987 and Deputy Managing Director in 1994.
Michel Rollier joined the Michelin Group in September 1996 as Chief Legal Officer and Director of Financial Operations. As a member of the Michelin Group Executive Council, he was appointed Chief Financial and Legal Officer in October 1999.
He became Managing Partner of Compagnie Générale des Etablissements Michelin in May 2005, alongside Edouard Michelin and René Zingraff.
Michel Rollier was previously the Michelin Group's sole Managing General Partner since May 27, 2006.
Since the May 13, 2011 Annual Shareholders Meeting, Michel Rollier has been Managing Chairman and Jean-Dominique Senard has joined him as Managing General Partner.
Michel Rollier was born on Sept. 19, 1944 in Annecy.
Jean-Dominique Senard is a graduate of France's HEC business school. He also holds a Master's Degree in Law.
He began his career in various financial and operational positions with Total, from September 1979 to September 1987, then with Saint Gobain, from 1987 to 1996. From September 1996 to March 2001, he was Chief Financial Officer of Péchiney and a member of its Group Executive Council. He was also head of Péchiney's Primary Metal sector until 2004. As a member of Alcan's Executive Committee, he was in charge of integrating Péchiney and served as Chairman of Péchiney SA.
Jean-Dominique Senard joined Michelin in March 2005 as Chief Financial Officer and a member of the Michelin Group Executive Council.
In May 2007, he was appointed Non-General Managing Partner of the Michelin Group.
During the Group's 2011 Annual Meeting of Shareholders on May 13, 2011, Jean-Dominique Senard was appointed Managing General Partner of the Michelin Group alongside Michel Rollier, Chairman.
Jean-Dominique Senard was born on March 7, 1953. He is married and has three children.
