1.         2020 Long Term Incentive Plan - grant of plan cycle 14

Ricardo PLC (the "Company") announces that, on 27 November 2020:

(i)   conditional awards over a total of 685,486 shares of 25 pence each in the Company ("Shares"); and

(ii)   a conditional award of cash equivalent to the value of 10,049 Shares (the "Phantom Award"),

were granted to Executive Directors and other Persons Discharging Managerial Responsibility ("PDMRs") as set out below under the terms of the Company's 2020 Long Term Incentive Plan (the "LTIP"). These awards vest after three years and are subject to TSR and EPS performance conditions.

In light of current uncertainty created by the COVID-19 crisis, the Remuneration Committee has concluded that it would be inappropriate to set the specific targets for the EPS portion of these awards until such a time as there is a greater clarity around the long-term impact of the pandemic on the Company's business and the various markets in which it operates. As a result, the Committee intends to finalise these targets no later than six months after the date of grant. Once it has done so, full details of the selected targets will be set out in a further RNS announcement.
