Notification of Transactions of Directors/Persons Discharging Managerial Responsibility or their Connected Persons
In connection with the listing of the Company's American Depository Shares ("ADS's") on the Nasdaq Global Market and in order to satisfy Nasdaq listing rules, on 11 November 2020, (i) the Zohar Family Trust I, of which Ms. Daphne Zohar (the Chief Executive Officer and a Director of the Company) is a trustee and beneficiary, converted 2,050,000 Ordinary Shares in the Company to ADS's in line with the ratio of 10 ordinary shares to per one ADS and (ii) the Zohar Family Trust II, of which Ms. Daphne Zohar (the Chief Executive Officer and a Director of the Company) is a trustee and beneficiary, converted 2,050,000 Ordinary Shares in the Company to ADS's in line with the ratio of 10 ordinary shares to one ADS.
The foregoing is a notifiable transaction but does not involve any disposal of such interest. Following this transaction, Ms. Zohar continues to have a direct and indirect interest in 12,197,307 Ordinary Shares, representing approximately 4.3% of the issued share capital of the Company. No Ordinary Shares or ADS's are being sold or disposed of by Ms. Zohar or her related entities in connection with the Nasdaq listing.
This notification is made under Article 19 of the Market Abuse Regulation.
