Unter Bezugnahme auf vorbereitende Gespräche mit der Finanzmarktaufsicht wird ausdrücklich darauf hingewiesen, dass bei Gesamtzahl der Stimmrechte der Emittentin (Punkt 6.) die 706.833 Stück Aktien, die aus bedingtem Kapital der S&T AG (per Stichtag 23.12.2016) bereits wirksam entstanden, aber noch nicht zum Firmenbuch eingetragen sind, berücksichtigt wurden. Weiters wird ergänzt:

Ennoconn Corporation hält mit Eintragung der Kapitalerhöhung aus genehmigtem Kapital der S&T AG am 23.12.2016 nunmehr 4.383.620 Stück Aktien an S&T AG, wobei diese Aktien indirekt über die hundertprozentigen Tochtergesellschaften der Ennocon Corporation, die Ennoconn International Investment Co., Ltd. (750.000 Stück) und die Ennoconn Investment Holdings Co., Ltd. (3.633.620 Stück) gehalten werden. Die Beteiligung entspricht einem Stimmrechtsanteil an S&T AG in Höhe von derzeit 8,96%. Es wurden somit die Beteiligungsschwellen von 4% und 5% überschritten. Der Bestand an Finanzinstrumenten gem § 91a Abs 1 Z 3 BörseG hat sich im gleichen Ausmaß reduziert, sodass in Bezug auf die Finanzinstrumente die Schwelle von 25% unterschritten wurde.

Wie bereits veröffentlicht, hat Ennoconn Investment Holdings Co., Ltd. weiters am 13.10.2016 einen aufschiebend bedingten Kaufund Anteilsabtretungsvertrag mit Altaktionären der S&T AG über den Erwerb von insgesamt 9.800.000 Stück Aktien an S&T AG abgeschlossen. Von den aufschiebenden Bedingungen, unter denen dieser Erwerb steht, ist die Bedingung der kartellrechtlichen Genehmigung durch die zuständigen Behörden noch nicht erfüllt. Nach Übertragung dieser Aktien wird Ennoconn Corporation unter Berücksichtigung der bereits derzeit gehaltenen Aktien indirekt insgesamt 28,99% der stimmberechtigten Aktien der S&T AG halten.

Größter Aktionär der Ennoconn Corporation ist die Hon Hai Precision Industry Co., Ltd., die unter dem Namen Foxconn auftritt ("Foxconn"). Foxconn hält insbesondere über Baoxin International Investment Co., Ltd. rund 40% der Stimmrechte an Ennoconn Corporation, wobei Foxconn jedoch keinen beherrschenden Einfluss über Ennoconn ausübt.
