Grant of Awards of Shares to Directors under the Hilton Food Group Long-Term Incentive Plan 2019.

Awards will normally vest on 28 September 2023 subject to continued employment and meeting performance conditions covering the three financial years 2020-2022. The performance conditions include:

i)   EPS growth, carrying a 70% weighting, with threshold growth of 6% per annum where 10% of the options will vest rising to EPS growth of at least 12% per annum where 100% of the options will vest; and

ii)  TSR growth, carrying a 30% weighting, with threshold vesting for median performance against the constituents of the FTSE 250 (excluding investment trusts) where 10% of the options will vest rising to TSR growth of at least upper quartile performance where 100% of the options will vest.
