By way's of a spin-off of shares, Pierer Industrie AG transferred 141,580,608 shares of KTM Industries AG to Pierer Konzerngesellschaft mbH. Pierer Konzerngesellschaft mbH (receiving company) is the direct sole shareholder of Pierer Industrie AG (transferring company); therefore Pierer Konzerngesellschaft mbH pursuant to § 17 lit 5 Austrian Spin-Off Act in combination with § 224 para 1 lit 1 Austrian Stock Exchange Act did not grant shares. In the course of the spin-off, no shares in Pierer Konzerngesellschaft mbH have been allocated and no capital increase has taken place. There were no cash payments in the course of the transaction. Pierer Konzerngesellschaft mbH is now the direct shareholder of KTM Industries AG.
