Transactions in shares by Persons Discharging Managerial Responsibilities ("PDMRs")

The following notification and announcement made under article 19 of the Market Abuse Regulation ('MAR') relate to granting of options to PDMRs under the DS Smith 2008 Performance Share Plan ("PSP").

On 14 July 2020 the Company granted in accordance with the provisions of the Company's approved Remuneration Policy the following nil-cost options over Ordinary Shares of 10p each ("Shares") under the terms of the PSP.

These awards will normally vest on the third anniversary of grant, being 14 July 2023. The awards to the Executive Directors are subject to performance conditions and the awards to those PDMRs who are not Executive Directors are in part subject to performance conditions.  A two-year holding period applies to the Executive Directors from the vesting date in respect of any Shares which vest under this PSP award.
