Severn Trent Plc (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and their Closely Associated Persons

This notification is made in accordance with the Market Abuse Regulation.

On 16 June 2020, Severn Trent Plc granted awards over 218,621 Ordinary Shares under the terms of the Severn Trent Plc Long Term Incentive Plan 2014 (the "Plan") in line with the Directors' Remuneration Policy approved by shareholders at the Company's 2018 Annual General Meeting, including awards over 152,581 Ordinary Shares to Directors and Persons Discharging Managerial Responsibility ("PDMR") of the Company as set out below.

These Ordinary Shares will vest on 24 July 2023, depending on the achievement of performance targets and service with the Company.  No consideration was paid for the grant of these awards and no payment is due on the release of any shares.  The share price used to calculate these awards was based on the average of the mid-market price for an Ordinary Share in the Company over 11, 12 and 15 June 2020.

The Remuneration Committee has the discretion to make downward or upward adjustments to the Vesting resulting from the application of the Performance Conditions if the Remuneration Committee believes that the outcomes are not a fair and accurate reflection of overall financial and operational performance, this includes consideration of any windfall gains resulting from share price volatility.
