INDIVIOR PLC (THE 'COMPANY')

NOTIFICATION AND PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ('PDMR') AND PERSONS CLOSELY ASSOCIATED WITH THEM

The Company announces that on March 9, 2020 it granted Conditional Awards ('Awards') over Ordinary Shares of US$0.10 each in the Company ('Shares') under the Indivior Long-Term Incentive Plan ('LTIP') to the PDMRs set out below:

The vesting of these Awards is subject to the Rules of the LTIP and upon continued employment and the achievement of performance conditions.  The performance conditions applicable to the Awards are based on (1) relative Total Shareholder Return ('TSR') versus the FTSE 250 excluding investment trusts and (2) relative TSR versus the S&P1500 Pharmaceutical and Biotech Index (50% weighting for each measure).

The number of Shares under Award that will vest will depend upon the extent to which the performance conditions have been achieved.

No consideration is payable either on the grant or vesting of the Awards. The Awards granted to the Executive Directors will normally vest on the third anniversary of the Award date and are then subject to a further two-year holding period before the Shares are released. The Awards granted to the Executive Committee members will normally vest on the third anniversary of the Award date.

This notification is made in accordance with the requirements of the EU Market Abuse Regulation.
