Vistry Group PLC - Voting Rights and Capital

In conformity with the FCA's Disclosure and Transparency Rule 5.6.1R and as an update to the announcement made on 28 November 2025, please note Vistry Group PLC's capital consists of 320,843,793 Ordinary 50p shares.

The change from 321,538,914 Ordinary 50p shares on 28 November 2025 is due to the cancellation of 696,704 shares as part of the Company's share buyback.

Vistry Group PLC holds 604,496 shares in Treasury. The change from 690,070 shares on 28 November 2025 is due to a transfer of 85,574 Treasury shares to satisfy the exercise of share options.

Therefore, the total voting rights in Vistry Group PLC is 320,239,297. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Vistry Group PLC under the FCA's Disclosure and Transparency Rules.
