MAGIS SPA: COMUNICAZIONE AI SENSI DELL'ART. 17 DEL REGOLAMENTO EURONEXT GROWTH MILAN
Cerreto Guidi (FI), 30 dicembre 2025 – Magis S.p.A. ("Magis" o la "Società"), società leader nella produzione di nastri adesivi personalizzati e sistemi di chiusura per il body care di adulti e infanzia, rende noto ai sensi della Disciplina sulla Trasparenza e dell'art. 17 del Regolamento Emittenti Euronext Growth Milan, di aver ricevuto -in data 29 dicembre 2025- comunicazione da parte degli azionisti Marco Marzi e Maura Ancillotti in merito al conferimento di azioni, come di seguito rappresentato:
-Marco Marzi ha conferito in Frama Srl n. 185.209 azioni, tale per cui, alla data odierna, Frama Srl detiene n.1.601.332 azioni (dalle precedenti n. 1.416.123 azioni), pari al 27,52% del capitale di Magis s.p.A..
-Maura Ancillotti ha conferito in Alema Srl n. 193.293 azioni, tale per cui, alla data odierna, Alema Srl detiene 1.671.208 azioni (dalle precedenti n.1.477.915 azioni), pari al 28,72% di Magis S.p.A.
Sulla base, quindi, delle comunicazioni pervenute dagli azionisti e delle informazioni ad oggi a disposizione della Società, gli azionisti che detengono una partecipazione superiore al 5% del capitale di Magis S.p.A. sono i seguenti:

MAGIS SPA: COMMUNICATION PURSUANT TO ARTICLE 17 OF THE EURONEXT GROWTH MILAN REGULATIONS
Cerreto Guidi (FI), 30 December 2025 – Magis S.p.A. ("Magis" or the "Company"), leading manufacturer of customised adhesive tapes and fastening systems for disposable nappies and adult incontinence products, listed on the EGM market of Borsa Italiana (ticker: MGS), discloses, pursuant to the Transparency Regulations and Article 17 of the Euronext Growth Milan Issuers' Regulations, that on 29th December 2025 it received notification from shareholders Marco Marzi and Maura Ancillotti regarding the transfer of shares, as detailed below:
-Marco Marzi has transferred 185,209 shares to Frama Srl, meaning that, as of today, Frama Srl holds 1,601,332 shares (up from 1,416,123 shares), equal to 27.52% of the share capital of Magis s.p.A..
-Maura Ancillotti transferred 193,293 shares to Alema Srl, meaning that, as of today, Alema Srl holds 1,671,208 shares (up from 1,477,915 shares), equal to 28.72% of Magis S.p.A.
Therefore, based on the communications received from shareholders and the information currently available to the Company, the following shareholders hold a stake of more than 5% of the share capital of Magis S.p.A.:
