Completion of sale of UK T&D to United Infrastructure

Further to the Company's announcement on 10 December 2025, the board of Wood is pleased to announce that it has today completed the sale of its United Kingdom Transmission & Distribution engineering business ("UK T&D") to UI Telecoms & Power Holdco Limited ("United Infrastructure"), as described in the announcement on 10 December 2025, for a cash consideration of £57.5 million (around $77.7 million) with cash proceeds of approximately £55.1 million net of transaction costs.

For the purposes of UK Listing Rule 7.3.3, Wood confirms that there has been no material change affecting any matter contained in the Company's announcement on 10 December 2025.
