Azimut extends the framework agreement with FSI for the creation of TNB

Milan, 29 December 2025

Azimut Holding S.p.A. ("Azimut" or the "Azimut Group") announces that it has extended the binding exclusivity agreement with FSI SGR S.p.A. ("FSI"), acting on behalf of the investment fund FSI II, in relation to the TNB project. The agreement, originally set to expire on 28 December 20251, has been extended to 20 June 2026, with the option for a further extension until 20 December 2026. This extension is part of the timeline already shared between the parties and remains aligned with the operational and regulatory timelines of the project2.

Azimut and FSI continue to work in close coordination, reaffirming the strength of the project, the alignment between the parties, and the goal of generating long-term sustainable value, with the transaction expected to be completed during the course of 2026, subject to the required regulatory approvals.

Azimut firma l'estensione con FSI dell'accordo quadro per la creazione di TNB

Milano, 29 dicembre 2025

Azimut Holding S.p.A. ("Azimut" o il "Gruppo Azimut") comunica di aver esteso l'accordo vincolante di esclusiva con FSI SGR S.p.A. ("FSI"), in nome e per conto del fondo di investimento FSI II, relativo al progetto TNB. L'accordo, originariamente in scadenza il 28 dicembre 20251, è stato prorogato al 20 giugno 2026, con la possibilità di un'ulteriore estensione fino al 20 dicembre 2026. Tale estensione si inserisce nel percorso già condiviso tra le parti ed è coerente con le tempistiche operative e regolamentari del progetto2.

Azimut e FSI proseguono in modo coordinato, confermando la solidità del progetto, l'allineamento tra le parti e l'obiettivo di creare valore sostenibile di lungo periodo, verso il completamento dell'operazione nel corso del 2026, fatte salve le necessarie autorizzazioni regolamentari.
